LYNDA Screening License Terms

Last updated: November 6, 2026

1. About these terms

These terms govern every license to publicly screen the documentary film LYNDA (the "Film"). Licenses are granted by Exformative Entertainment LLC, a North Carolina limited liability company ("Exformative," "we," "us").

1.1 Licensee. The organization buying the license ("Licensee," "you").

1.2 Order. The checkout page, invoice, or written confirmation for a purchase. It lists the license tier, screening date, venue, add-ons, and fee.

1.3 Screening. The single public showing of the Film described in the Order.

1.4 Acceptance. You accept these terms by checking the acceptance box at checkout, paying an invoice, or receiving access to the Film, whichever comes first.

1.5 Authority. The person who accepts these terms confirms they are authorized to bind the Licensee.

1.6 Order of precedence. A separately signed agreement between you and us controls over the Order. The Order controls over these terms.

2. What the license allows

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to exhibit the Film once, in full, for a live in-person audience. The Screening must take place on the date and at the venue named in the Order, within the United States, and be free to attend.

University tier. Accredited colleges and universities, including departments, programs, and student groups. Up to 250 attendees.

Community tier. Nonprofits, faith communities, libraries, K-12 schools, restorative justice and justice organizations, and community groups. Up to 150 attendees.

Screenings above these caps, or for theaters, venues, and conferences, are quoted separately in writing.

2.1 Tier. You must buy the tier that fits your organization and expected audience. We may reclassify an Order and charge the difference if the tier is wrong.

2.2 Additional screenings. Each additional showing, date, or venue requires a separate license.

2.3 Virtual or hybrid screenings. Not included. They are available only by separate written agreement.

2.4 Staff preview. Your designated contact may preview the Film during the access window, solely to prepare for the Screening.

3. What is not allowed

Anything not expressly permitted in Section 2 is prohibited. In particular, you may not:

3.1 Charge admission, a ticket price, a required donation, or any fee or purchase as a condition of attending.

3.2 Solicit donations or hold a fundraiser in connection with the Screening without our prior written approval.

3.3 Record, copy, download, capture, or screen-record the Film or any part of it.

3.4 Stream, broadcast, transmit, or make the Film available online, on a closed network, or to anyone outside the venue.

3.5 Show the Film more than once, on a different date, or at a different venue.

3.6 Edit, cut, excerpt, alter, re-subtitle, or remove credits from the Film, or interrupt it with other content.

3.7 Share the access link, password, or any file with anyone other than the staff running the Screening.

3.8 Sell, sublicense, assign, or transfer the license.

3.9 Use the Film, its images, or its audio in other works, advertising, or merchandise, except the promotional materials we provide.

3.10 Use the Film or any part of it to train, fine-tune, or test artificial intelligence or machine-learning systems.

4. Access, delivery, and technical setup

We deliver the Film as a private, password-protected streaming link. It is sent to your designated contact no later than 3 days before the Screening and stays active until 11:59 p.m. Eastern Time on the day after the Screening.

4.1 Backup file. If your venue's internet is unreliable, you may request a backup download. You must delete every copy within 24 hours after the Screening and confirm the deletion in writing on request.

4.2 Your equipment. You are responsible for the venue, projection, sound, internet connection, and staff to run the Screening.

4.3 Tech check. You must test playback at the venue, on the equipment you will use, at least 24 hours before the Screening.

4.4 Access problems. Report any problem with the link or file as soon as you find it. We will make reasonable efforts to fix it promptly.

4.5 Our failure. If a failure on our side prevents the Screening, we will reschedule it or refund the license fee, at your choice. This is your sole remedy.

4.6 Your failure. We are not responsible for failures of your equipment, venue, or internet connection, or for a missed tech check.

5. Fees, payment, cancellation, and rescheduling

The license fee is the amount for your tier and add-ons shown in the Order. Access is delivered only after the fee is paid in full.

5.1 Card payment. Paid at checkout through Stripe.

5.2 Invoice payment. Invoices must be paid in full at least 7 days before the Screening. Unpaid invoices may be cancelled and the Screening date released.

5.3 Taxes. Fees do not include taxes. You are responsible for any applicable sales or use taxes. Tax-exempt organizations must provide a valid exemption certificate before payment.

5.4 Not a donation. License fees pay for a license. They are not charitable contributions and are not tax-deductible.

5.5 Cancellation by you. 15 or more days before the Screening: full refund, minus payment processing fees. 7 to 14 days before: 50% refund, or one free reschedule. Fewer than 7 days before, or after the access link is sent: no refund; one reschedule may be offered at our discretion.

5.6 Rescheduling. You may reschedule once at no charge if you ask at least 7 days before the Screening. The new date must fall within 6 months of the original date.

5.7 Cancellation by us. If we cancel, you receive a full refund.

5.8 Events beyond control. If severe weather, a public emergency, or a similar event prevents the Screening, either party may reschedule it within 6 months at no charge.

6. Promotion, credit, and reporting

You may promote the Screening using only the title, synopsis, trailer, stills, and poster we provide, without alteration.

6.1 How to describe it. Promotion must name the Film as LYNDA, "a film by Exformative Entertainment," and describe the event as a screening hosted by your organization.

6.2 No endorsement. You may not suggest that Exformative or anyone in the Film endorses your organization, its views, or its programs.

6.3 Show it whole. The Film must play in full, including opening and end credits.

6.4 Audience suitability. The Film deals with serious subject matter. You are responsible for deciding whether it suits your audience, and for sharing any content advisory we provide.

6.5 Attendance report. Within 7 days after the Screening, you must report actual attendance through the form we send.

6.6 Listing your screening. We may list your organization's name, city, and Screening date on our website and in our materials, unless you ask us not to in writing.

7. Filmmaker Q&A add-ons

A filmmaker Q&A may be added to a Screening for an additional fee, subject to availability.

7.1 Zoom Q&A. About 30 to 45 minutes over Zoom, right after the Screening. You provide the screen, speakers, a microphone for audience questions, and a stable internet connection.

7.2 In-person Q&A. Quoted separately in writing. The quote covers the appearance fee, travel, lodging, and meals. It is confirmed only when it appears in an Order or a written confirmation from us.

7.3 Substitution. If the scheduled filmmaker cannot appear because of illness or emergency, we will offer a virtual appearance or another member of the filmmaking team. If neither works for you, we will refund the add-on fee. This is your sole remedy.

7.4 Recording. You may not record or livestream a Q&A without our prior written consent.

7.5 Cancellation. Add-ons follow the cancellation terms in Section 5. Non-refundable travel costs already incurred are not refunded.

8. Legal terms

8.1 Ownership. The Film, its trailer, and all promotional materials are owned by Exformative or its licensors. All rights not expressly granted are reserved.

8.2 Our promise. We have the rights needed to grant this license.

8.3 Your promises. You will follow these terms, venue rules, and applicable law, and make sure your staff and volunteers do too.

8.4 Views expressed. Views expressed in the Film belong to the people who express them.

8.5 Disclaimer. Apart from Section 8.2, the Film and access are provided "as is," without other warranties of any kind.

8.6 Limit of liability. Our total liability under this license is limited to the fees you paid for it. Neither party is liable for indirect, incidental, special, or consequential damages, or lost profits.

8.7 Indemnity. You will defend and indemnify Exformative against claims arising from your breach of these terms, your venue, or your event and its attendees.

8.8 Termination. We may end the license immediately, and disable access, if you breach these terms. No refund is due, and you must stop all use and delete any copies.

8.9 Unauthorized use. Any use beyond these terms is infringement. We may charge a license fee for each unauthorized screening, in addition to any other remedy.

8.10 Governing law. North Carolina law governs these terms. Disputes go to the state or federal courts in Durham County, North Carolina.

8.11 Changes. We may update these terms. The version in effect on the date of your Order applies to that Order.

8.12 Whole agreement. These terms and the Order are the entire agreement for the license. If any provision is unenforceable, the rest still applies. A failure to enforce a provision is not a waiver.
